Contractual Disclaimer:
NeuroSound® is not a prescription, substitute therapy, treatment or medical device. The application does not make any medical diagnosis and does not treat any disease. It is not designed or intended to affect the functioning or structure of the human body as a whole. NeuroSound® is a digital tool and an audio content distribution platform for exclusively bioacoustic and non-medical purposes. Neurosound Ltd, as publisher of the application, does not act as a healthcare practitioner, does not provide any medical act, and in no way replaces the advice or intervention of a qualified health professional. NeuroSound® offers a bioacoustic experience (sound listening and perception). In the event of a health problem, please consult a qualified healthcare professional. Legislation regarding wellness and body care terms varies by country. Any use that a user makes of the application beyond its stated function is under their sole and personal responsibility, in their country of residence. All terms used on the website and within the application fall within the scope of bioacoustics, which is non-invasive and non-medical. NeuroSound® is intended for personal or professional use; the user is, in all cases of use, solely responsible for their own actions; they consent to being free, informed and aware of all uses of NeuroSound®. The expression “first aid kit”, for example, is a generic metaphor designating a library of sound sequences for wellness and non-medical use. Similarly, the terms “sound care” or “regeneration” are generic names in a non-medical sense, such as “aesthetic care, energy care, hair care, etc.”. In conclusion, NeuroSound® is an applied bioacoustics application, independent of any practice, its use and its user. Please note that neither the designer Samuel Vallee nor his collaborators can be held liable for inappropriate, abusive or any side effects related to NeuroSound, independently of our will. This disclaimer prevails over any other interpretation of the content offered by the application or its associated materials.

Product Images and the ES·C Sound Speaker:
All photographs, illustrations, renderings and images displayed on the website https://neurosound.bio and within the application are provided for illustrative purposes only and are non-contractual. They do not form part of the contract and may differ from the actual product delivered.
The ES·C sound speaker is a recommended but optional accessory, supplied free of charge and without separate invoicing when included with a plan. Its make and model may vary depending on the supplier (for example EWA, ANKOR, NRS, among others), and Neurosound Ltd reserves the right to substitute an equivalent model at any time without prior notice.
The value, purpose and proper functioning of the NeuroSound® application do not depend in any way solely on the ES·C sound speaker. The application delivers its bioacoustic experience through any suitable audio playback device (headphones, earphones or other speakers), and the ES·C speaker remains entirely optional.
Article 3: Offers, Monthly Subscription and Commitment
NeuroSound® is offered under the following commercial formats, described on https://neurosound.bio at the time of purchase:
Save where mandatory statutory provisions applicable to the Client provide otherwise, or in the event of non-performance attributable to Neurosound Ltd, no refund is possible for any Monthly Plan period already invoiced, including in the event of early termination of use of the application by the user.
Article 4: Conditions of Use of NeuroSound® Services

Neurosound Ltd undertakes to assign to the Client, once full payment has been made, the intellectual property rights over elements specifically created for them in the context of bespoke services (excluding standard NeuroSound® content and algorithms).

In the case of ancillary services (development, customisation), any schedule provided is indicative. Any delay caused by the Client in providing the requested elements extends the overall deadline accordingly.

Article 5: Client Obligations and Responsibilities
Data and Content Provided
The Client undertakes to provide final and usable content (texts, images, sounds) in formats suitable for the technical requirements of the application.
Any modification after integration may be charged at the applicable rate.
Legality and Rights

Article 6: NeuroSound® Obligations and Responsibilities
Quality of Service
Neurosound Ltd implements all reasonable technical and human means to ensure the availability and security of the NeuroSound® application.
Limitations
Neurosound Ltd is bound only by a best-efforts obligation. The liability of Neurosound Ltd may only be engaged up to the total amount paid by the Client during the 12 months preceding the event giving rise to the dispute.
Exclusions of Liability
The liability of Neurosound Ltd shall not be engaged in the following cases:
Article 7: Personal Data Processing
Neurosound Ltd collects and processes the Client’s personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018 (and, where the Client is located in the European Economic Area, the EU General Data Protection Regulation), as detailed in its Privacy Policy.
Purposes:
Legal basis: performance of the contract, consent, legitimate interest.
Retention period: Data is retained for as long as the subscription is active, then archived for the mandatory legal period.
Client rights: access, rectification, erasure, objection, portability, restriction of processing.
These rights may be exercised by email.
Article 8: Non-Solicitation Clause
The Client undertakes, directly or indirectly, not to solicit or recruit any employee, collaborator or subcontractor of Neurosound Ltd who has participated in the provision of services, throughout the duration of the contract and for 12 months after its termination, without prior written agreement from Neurosound Ltd.
In the event of breach of this clause, the Client undertakes to pay Neurosound Ltd an indemnity equivalent to twelve months of gross remuneration of the person solicited.
Article 9: Contract Effective Date
The contract comes into force:
Access to the NeuroSound® application is granted immediately upon the effective date, unless a deferred payment arrangement has been expressly agreed.
Physical Accessories Are Not Part of the Application's Performance:
Where a Client also purchases optional physical accessories (for example the ES·C sound speaker, tuning forks, a singing bowl, or a Schumann wave generator) through the NeuroSound® shop, such purchases are one-time sales of goods, separate and independent from the NeuroSound® application and subscription service. The effective date and performance of the NeuroSound® application and subscription service are determined exclusively by this Article and begin upon validation of payment for the application/subscription — never upon the shipping, delivery or receipt of any physical accessory. Conversely, any delay in shipping, delivery or receipt of an accessory does not suspend, delay or otherwise affect the Client’s access to or use of the NeuroSound® application.
Article 10: Financial Terms and Payment
Pricing
The applicable prices are those displayed on https://neurosound.bio at the time of subscription.
Prices are expressed in Euros (€) or Pound (GBP), inclusive of all applicable taxes.
Payment
No Refund Policy
Save where mandatory statutory provisions applicable to the Client provide otherwise, or in the event of non-performance attributable to Neurosound Ltd, no refund is made after purchase, including in the event of early termination or non-use.
Late or Non-Payment
Any delay results in the immediate acceleration of all sums due for the current contractual period, increased by statutory interest as provided under the Late Payment of Commercial Debts (Interest) Act 1998.
In the event of a payment dispute initiated by the client with their bank or via a payment service provider (e.g. Mollie), where that dispute is found to be unfounded, the user will remain liable not only for the sums due under their subscription, but also for any banking and administrative fees generated by the chargeback procedure. These fees will be invoiced to the client at the level of costs actually incurred by Neurosound Ltd. Neurosound Ltd may transmit to the payment service provider all contractual and electronic evidence referred to in Article 19 in order to substantiate the provision of the service.
Right of Withdrawal / Cancellation
In accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the Buyer has a period of fourteen (14) days from the date of their order to exercise their right of cancellation.
However, the right of cancellation cannot be exercised in respect of:
The supply of audio, video or software files once they have been unsealed or downloaded by the Buyer after purchase;
The supply of digital content not provided on a tangible medium (such as downloadable audio files), the performance of which began after the Buyer’s express prior consent and explicit waiver of the right of cancellation.
By confirming their order and accessing the download immediately, the Buyer acknowledges:
That performance of the service begins upon validation of payment;
That they expressly waive their right of cancellation;
That they will therefore not be entitled to any refund once access to the audio/video download platform has begun.
This waiver does not affect any statutory rights that cannot be excluded under the law of the Buyer’s country of residence.
Article 11: Termination
At the Client’s Initiative
Save where mandatory statutory provisions applicable to the Client provide otherwise, any termination before the end of an already-invoiced contractual period gives rise to no refund of sums already paid.
Any termination request by email must be made exclusively:
– either by recorded delivery letter with acknowledgement of receipt to the registered address of Neurosound Ltd (stated in the introduction),
– or by email,
Requests sent to other addresses or not accompanied by an electronic or postal acknowledgement of receipt cannot be taken into account. The user is required to retain proof of their request.
For any complaint or prior request for amicable settlement, the user must send an email.
This address centralises requests and constitutes the official communication channel in the event of a dispute.
At the Initiative of Neurosound Ltd
Neurosound Ltd may terminate the contract without notice in the event of:
Article 12: Force Majeure
Neither party shall be held liable for any failure to fulfil its obligations resulting from a force majeure event within the meaning of English common law, including but not limited to natural disasters, acts of government, pandemics, civil unrest, or any other event beyond the reasonable control of the affected party.
Article 13: Assignment of Contract
The Client may not assign all or part of their rights and obligations to a third party without prior written agreement from Neurosound Ltd.
Neurosound Ltd reserves the right to assign this contract to any entity of its choice.
Article 14: Applicable Law and Jurisdiction
This contract is governed by the laws of England and Wales.
Any dispute relating to its interpretation or execution shall be brought before the courts of England and Wales, unless exclusive jurisdiction lies elsewhere under mandatory law, or unless referred to arbitration under Article 17. Consumers resident in the European Union or elsewhere may also be entitled to bring proceedings before the courts of their own country of residence, where mandatory local consumer protection law so provides.
Article 15: Final Provisions and Disclaimer Reminder
Entire Agreement
These general terms and conditions express the entire agreement between the parties and prevail over any prior document.
Disclaimer Reminder
Article 16: Waiver of Indirect Damages
The Client expressly waives any right to hold Neurosound Ltd – NeuroSound® liable for any indirect, incidental, consequential or non-material damage, including (without limitation):
This waiver applies regardless of the causes, origins, nature or consequences of the damage, including in the event of contractual or tortious fault. Nothing in this Article excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded or limited under applicable law.
Article 17: Dispute Resolution
In the event of a dispute relating to the performance or interpretation of this contract, the Parties undertake to seek an amicable solution before taking any legal action.
Failing an amicable agreement within 30 days of written notification of the dispute by one of the Parties, the matter shall be submitted to arbitration in accordance with the rules of the Chartered Institute of Arbitrators (CIArb), by one or more arbitrators appointed pursuant to those rules.
The arbitral award shall be final and binding on the Parties. Arbitration costs shall be borne by the losing Party, unless the arbitrator decides otherwise. This Article does not deprive a consumer of any right to bring proceedings before the competent courts under Article 14.
Article 18: Ownership and Use of Audio Data
In the context of certain features, NeuroSound® may analyse the user’s voice for purposes strictly related to non-medical bioacoustics, such as optimisation of audio sequences or applied acoustic research.
By accepting these terms, the user:
Article 19: Electronic Evidence, Proof of Delivery and Chargeback Cooperation
The Parties agree that electronic records – including, without limitation, IP addresses, connection timestamps, browser and device identifiers, session openings, file downloads, ticked consent boxes, acceptance of these General Terms and Conditions and the specific version thereof accepted, and payment confirmations – constitute admissible evidence between the Parties and may be relied upon to establish the existence, content and performance of the contract.
The Buyer’s first connection to, or first access of, the NeuroSound® application or any digital content made available following payment constitutes evidence of the proper delivery of the digital service, without prejudice to any statutory guarantees or rights that cannot be excluded under the law applicable to the Buyer.
In the event of a payment dispute, chargeback or contestation initiated by the Client with their bank or payment service provider, Neurosound Ltd may transmit to that payment service provider (including Mollie) all contractual and electronic evidence referred to in this Article in order to substantiate the provision of the service.
